Wally Narajowski, President & Chief Executive Officer

With over 20 years in the life science business, Mr. Narajowski is well known for his ability to take new technological concepts and turn them into successful businesses or major product lines. Appointed August 2005, President & C.E.O. of Pathway Diagnostics, as well as member of the board of directors, Mr. Narajowski brings to Pathway Diagnostics his proven track record of commercial business success and his entrepreneurial spirit. Before attaining his position at Pathway Diagnostics, Mr. Narajowski served as Vice President & General Manager of Focus Diagnostics, in the Infectious Disease Reference Laboratory and Diagnostic Product business. As a veteran in the diagnostic industry, Mr. Narajowski has also acquired experience with managing biotechnology funds and with serving as a major contributor for key Abbott Diagnostics systems such as Vision, TDx, and Quantum. The majority of Mr. Narajowski's thriving career has been spent with Abbott Laboratories holding general management positions in the Hospital Products Division and the Diagnostics Division business units. Specifically, Mr. Narajowski served as Vice President & General Manager of Critical Care Products (1995-98) and Vice President & General Manager of the Infusion Pump business (1990-95). Prior to 1990, Mr. Narajowski was in the Diagnostic's Division where he worked as General Manager of Physician Office Diagnostics, as well as a Director of R&D. Mr. Narajowski received a Master's Degree in Bioengineering from the University of Utah and a Bachelor's Degree in Electrical Engineering from the Illinois Institute of Technology.

Joseph Lanfreschi, Ph.D., VP of Laboratory & Clinical Trials Operations

Dr. Lanfreschi possesses over 20 years of extensive experience directing domestic and global laboratory operations while supporting pharmaceutical and biotech clinical trials. Prior to Pathway Diagnostics, Dr. Lanfreschi was Managing Director for Quest Diagnostics clinical trials where he drove client satisfaction through increasing efficiencies and quality assurance during a high-growth period. Prior to Quest, Dr. Lanfreschi served as Director of Clinical Trial Services for Quintiles Laboratories where he led a team during a significant growth period that included strategic international acquisitions and partnerships. Prior to Quintiles, Dr. Lanfreschi served in various laboratory leadership roles at Laboratory Corporation of America and Smith Kline Beecham. Dr. Lanfreschi received a Ph.D. from Saint Johns University New York in Pharmacology and Toxicology and his Masters Degree from Long Island University New York in Medical Technology and Clinical Chemistry.

Terry Robins, Ph.D., VP of Research & Development

Dr. Robins has over 25 years of experience in area of specialized clinical diagnostics. Prior to joining Pathway Diagnostics, Dr. Robins held the position of Chief Scientific Liaison for Focus Diagnostics, where he directed the development of numerous clinical trial specific diagnostic assays primarily in the areas of immunology, molecular biology and vaccine response. He has also held positions as Assistant Vice-President of Operations at Specialty Laboratories and Virology Group leader at Abbott Laboratories. His work at Abbott Laboratories lead directly to the successful research, development and commercialization of the HIV protease inhibitor drug Ritonavir. Dr. Robins received his Ph.D. in Molecular Biology from UC Berkeley studying cellular oncogenes.

Stephanie H. Astrow, Ph.D., MBA, VP, Director of Oncology

Before joining Pathway Diagnostics, Dr. Astrow was Vice President and Scientific Director of IMPATH Predictive Oncology, where she directed operations focused on providing biological, technological and medical information for the discovery, development and commercialization of next-generation cancer diagnostics and therapeutics. Prior to IMPATH, Dr. Astrow was a faculty member in the Department of Biological Sciences at the University of Southern California. She also directed the operations of the Immunopathology Laboratory at Cedars-Sinai Medical Center. Dr. Astrow holds a Ph.D. from UC Berkeley and an MBA from Pepperdine University.

Allen R. Gehrke, National Sales Director, Clinical Trials

Mr. Gehrke has 25 years of experience in sales, and sales management. For the last 15 years, Mr. Gehrke has been involved in business development for clinical trials industry for both central laboratories and contract research organizations (CRO's). Prior to joining Pathway Diagnostics, he was Executive Director of Business Development for Research Point, a full service CRO. He has also held positions at Quintiles as Executive Director of Business where he was responsible for managing the sales team of the 50 pharmaceutical companies, and Vice President of Business Development for Quintiles Central Laboratories.

Lionel Carnot, Director

Lionel Carnot, MS, MBA, is an Investment Partner at Bay City Capital and has been extensively involved in the firm's activities since he joined The Pritzker Organization in 2000. Prior to The Pritzker Organization, Mr. Carnot was a Principal at Oracle Partners, a healthcare hedge fund. He also held several positions in the pharmaceutical industry, including Product Manager for Prozac at Eli Lilly as well as several sales and marketing positions at Aventis. Mr. Carnot was also a strategy and management consultant to the biopharmaceutical industry while at Booz Allen & Hamilton and Accenture Strategic Services. Mr. Carnot is a member of the Board of Directors of Bioseek and Pathway Diagnostics and serves as an observer on the boards of Reliant Pharmaceuticals and Via Pharmaceuticals. Mr. Carnot holds an MBA with Distinction from INSEAD and an MS with honors in Molecular Biology from the University of Geneva.

Richard Daly, Director

Mr. Daly is the former CEO of Visible Genetics Inc. a public diagnostic company that he sold to Bayer Diagnostics in 2002. Prior to joining VGI, Mr. Daly was the founder, Chairman and CEO of Clinical Partners, Inc., the largest HIV disease management company in North America, with more than 6,000 patients and covering 6,000,000 lives. Previously, Mr. Daly had spent over 23 years in the healthcare industry with several companies in a variety of executive positions in sales, marketing and general management, including serving as the President of Baxter Canada, General Manager of Baxter's Latin American Subsidiaries and President of The Health Data Institute, a pioneer company in outcome and health data analysis. Mr. Daly earned an MBA from Harvard Business School.

William G. Gerber, M.D., Chairman

Dr. Gerber is a Partner at Bay City Capital and joined the company in September 1999. He was most recently Chief Executive Officer of Epoch BioSciences, which was acquired by Nanogen, Inc. in December 2004. Prior to joining Epoch, Dr. Gerber served as President and Chief Executive Officer of diaDexus LLC, a joint venture established by Incyte Pharmaceuticals and SmithKline Beecham to apply genomics to the discovery of novel diagnostic products. Dr. Gerber previously served as Vice President and Chief Operating Officer of Onyx Pharmaceuticals, President of Chiron Diagnostics, and Senior Vice President and General Manager of the PCR Division with Cetus Corporation. He is Chairman of the Board of Directors of Pathway Diagnostics and a member of the Board of Directors of Galileo Pharmaceuticals, Nanogen, Inc., Radiant Medical, Inc. and Sangamo Biosciences. He also served on and was President of the Board of Medical Quality Assurance, State of California. Dr. Gerber received his M.D. and B.S. from University of California, San Francisco Medical Center after attending Dartmouth College.

David V. Milligan, Ph.D., Director

Dr. Milligan began his career at 3M Company in 1967 and retired from Abbott Laboratories at the end of 1996 as Senior Vice President and Chief Scientific Officer. During Dr. Milligan's 17 years at Abbott Laboratories, he led the Diagnostics Products Research and Development organization and later assumed responsibility for global Pharmaceutical R&D. Prior to joining Abbott, Dr. Milligan also held a variety of key management positions with Xonics Medical Systems, Litton Dental Products and Litton Medical Systems as well as 3M Company. Dr. Milligan is currently a Principal with Bay City Capital and member of its Business Advisory Board. In addition, he currently serves as a director for Caliper Life Sciences, Pathway Diagnostics, Reliant Pharmaceuticals and WebLOQ Inc. In addition, Dr. Milligan is a member of Princeton University's Chemistry Department Advisory Board as well as the Chemical Sciences Leadership Council of the University of Illinois at Urbana-Champaign. Dr. Milligan graduated from Princeton University in 1963 with an A.B. degree in Chemistry (summa cum laude). He then received M.S. and Ph.D. degrees from the University of Illinois in '65 and '67, respectively.

Nicholas J. Pritzker, Director

Mr. Pritzker is Vice Chairman of Hyatt Corporation and Chairman of the Executive Committee of Hyatt Corporation and has been responsible for the strategic development of the company and its real estate activities since 1982. He also directs Hyatt's involvement in gaming and interval ownership. Mr. Pritzker serves on the Board of Directors of Bay City Capital, which runs a series of funds specializing in biotechnology and life science. He was Chairman of the Board of a portfolio company, Eos Biotechnology, Inc. until its merger with PDL in 2003. He is also an executive vice-president of Conservation International. Mr. Pritzker received a B.A. in 1968 from Lake Forest College, Lake Forest, Illinois, and a J.D. in 1974 from the University of Chicago Law School. He was admitted to the Illinois bar in 1975.
